Hello everyone,

As we're actively searching for a new pro bono attorney, I'm thrilled to share that we're getting closer to finalizing our bylaws. However, there are two crucial questions I need assistance with, in order to wrap things up. If anyone has insights, I'd greatly appreciate your input:

1) Can a 501(c)(3) eligible nonprofit board of directors in New York have a treasurer serve as a nonvoting member of the board?

2) Is there a legal requirement for specific roles, like the vice president, within the board of directors of nonprofit organizations in New York City? 

I'll be the chairperson, and we have a committed treasurer. However, I'm concerned about potentially overloading our two clinician board members by appointing a vice president.
